Our corporate law practice began to grow following the success of our litigation practice.  Most clients we assisted in litigation refer legal work to us involving corporate law as their businesses expand.

Now, we serve as general counsel to many companies, both private and public, in various industries. We have represented domestic and international auto parts manufacturers, pharmaceutical corporations, biochemical companies, research and development labs, chain restaurants, and general food wholesale distributors.

We advise clients on general corporate governance matters relating to their daily business operations, including the following areas:

• the proper choice of a business entity and the formation of corporations, limited liability companies and partnerships
• the negotiation and documentation of shareholder agreements, limited liability company operating agreements, and partnership agreements
• corporation and limited liability company dissolutions, and other business separations.
• due diligence on conflict of interests and fiduciary duties of directors and corporate officers
